Terms & Conditions

PLEASE READ THESE TERMS CAREFULLY. By accessing or using Milestone Vault you agree to be legally bound by these Terms & Conditions. If you do not agree, you must not use the Service.

1. Contracting Entity

Milestone Vault (the "Service") is operated by Techify Solutions Ltd, a company incorporated in England and Wales (Company No. 16515642), whose registered office is at 234a Upper Richmond Road, London, SW15 6TG, United Kingdom ("Company", "we", "us", "our").

2. What the Service Is — and Is Not

Milestone Vault is a digital message-scheduling and delivery platform. It allows registered users to compose, encrypt, store, and schedule messages for future delivery to designated recipients via email.

THE SERVICE IS NOT, AND MUST NOT BE TREATED AS:
• A legal, probate, estate-planning, testamentary, fiduciary, or will-writing service.
• A guaranteed delivery mechanism. We make every reasonable effort to deliver messages but cannot guarantee delivery under all circumstances (see Clause 8).
• A provider of medical, financial, psychological, or any other professional advice.
• A substitute for formal estate or end-of-life planning documentation.
Any reliance on the Service for legal, financial, or other specialist outcomes is entirely at your own risk.

3. Eligibility

  • You must be at least 18 years old to register and use the Service.
  • You must provide truthful, accurate, and current registration information.
  • You must have the legal right to communicate with any recipient whose details you provide.
  • We reserve the right to refuse, suspend, or permanently terminate access for any user who does not meet these requirements, or for any reason at our discretion.

4. Account Security & Responsibilities

You are solely responsible for:

  • Keeping your login credentials confidential and secure.
  • All activity carried out under your account, whether authorised by you or not.
  • Ensuring the accuracy and legality of all recipient details and content you provide.
  • Notifying us immediately at themilestonevault@gmail.com if you suspect unauthorised access.

You must not share your account with, or transfer it to, any third party.

5. User Content & Intellectual Property

You retain full ownership of all messages, photos, and files you upload ("User Content"). By uploading User Content you represent and warrant that:

  • You own the content or hold all necessary licences and permissions to upload it.
  • The content does not infringe any third-party intellectual property, privacy, or other rights.
  • The content complies with all applicable laws.

You grant us a worldwide, non-exclusive, royalty-free, sub-licensable licence to store, encrypt, process, and transmit your User Content solely to provide the Service. We will not use your content for any marketing, training, or other purpose without your separate written consent.

All intellectual property in the Service itself (software, design, branding, trademarks) remains our exclusive property. You may not copy, adapt, reverse-engineer, or distribute any part of the Service without prior written consent.

We reserve the right to remove any User Content that we reasonably believe violates these Terms, without notice or liability to you.

6. Acceptable Use

You must not use the Service to:

  • Send or store content that is unlawful, defamatory, threatening, harassing, abusive, discriminatory, or obscene.
  • Send unsolicited commercial communications (spam).
  • Impersonate any person or entity.
  • Upload viruses, malware, or any other harmful code.
  • Attempt to gain unauthorised access to our systems or any third-party systems.
  • Use automated bots or scripts to interact with the Service.
  • Circumvent any security, rate-limiting, or access controls.

Breach of this clause may result in immediate termination of your account and, where appropriate, referral to law enforcement.

7. Mailing List & Marketing Communications

If you subscribe to our mailing list via the website footer, you consent to receiving periodic updates, product news, and promotional emails from us. Your email address is stored securely and is not shared or sold.

You may unsubscribe at any time by following the unsubscribe link in any email we send you or by contacting us at themilestonevault@gmail.com. We will honour opt-out requests within 10 business days.

8. Message Delivery — No Guarantee

We will make every reasonable effort to deliver your scheduled messages on time. However, you expressly acknowledge and accept that delivery cannot be guaranteed and may fail, be delayed, or be misdirected due to factors including but not limited to:

  • Incorrect, outdated, or invalid recipient email addresses provided by you.
  • Recipient spam filters, email provider policies, or inbox rules.
  • Platform outages, server failures, or maintenance (planned or unplanned).
  • Failure or discontinuation of any third-party service we rely on (e.g., email providers, cloud hosting).
  • Events of Force Majeure (see Clause 14).
  • Account termination, expiry, or deletion prior to the scheduled delivery date.
  • Recipient refusal to accept or confirm message delivery (where required).

We accept no liability whatsoever for any failed, delayed, misdirected, or undelivered messages. It is your responsibility to ensure recipient details are correct and up to date.

9. Plans, Fees & Refunds

Access to certain features of the Service requires payment of a one-time fee as described on our pricing page. Fees are displayed in GBP (pounds sterling) inclusive of any applicable VAT.

Payments are processed by Stripe, Inc., a third-party payment processor. We do not store your card details. By making a payment you also agree to Stripe's terms of service.

Refund Policy: All payments are non-refundable once access to the paid tier has been granted, except where required by law (for example, the UK Consumer Contracts Regulations 2013 where you have not yet accessed the digital content and cancel within 14 days of purchase). To request a refund under applicable law, contact us at themilestonevault@gmail.com within 14 days of payment.

We reserve the right to change our pricing at any time. Changes will not affect fees already paid.

10. Service Availability & Changes

We do not guarantee that the Service will be available at all times. We may suspend the Service for maintenance, upgrades, or any other reason, with or without notice.

We reserve the right to modify, discontinue, or remove any feature of the Service at any time. In the event of permanent discontinuation of the Service, we will provide at least 90 days' notice by email to your registered address and will allow you to export your message content where technically feasible.

11. No Warranty

The Service is provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any defects will be corrected; (c) the Service or the servers it runs on are free from viruses or other harmful components; or (d) the Service will meet your specific requirements.

12. Limitation of Liability

To the fullest extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including without limitation loss of profits, loss of data, loss of goodwill, emotional distress, or loss of business opportunity, even if advised of the possibility of such damages.
  • We shall not be liable for any damages arising from: failed or undelivered messages; reliance on the Service for estate or end-of-life planning; third-party service failures; unauthorised access to your account; or any Force Majeure event.
  • Our total aggregate liability to you for any and all claims arising under or in connection with these Terms or the Service shall not exceed the greater of: (a) the total fees you have paid to us in the 12 months preceding the event giving rise to the claim, or (b) £50.

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any liability that cannot be excluded or limited by English law.

13. Indemnification

You agree to fully indemnify, defend, and hold harmless Techify Solutions Ltd and its directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of or inability to use the Service.
  • Your violation of these Terms or any applicable law.
  • Your User Content or any message you schedule or send via the Service.
  • Your violation of the rights of any third party, including recipients.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, pandemic, war, civil unrest, government action, internet or communications outages, fire, flood, or failure of third-party infrastructure.

15. Termination

We may suspend or terminate your account and access to the Service immediately and without notice if we reasonably believe you have breached these Terms, engaged in fraudulent activity, or if required by law.

You may delete your account at any time via the account settings page. Upon deletion, your stored messages and personal data will be removed in accordance with our Privacy Policy. Termination does not entitle you to a refund.

Clauses relating to intellectual property, limitation of liability, indemnification, and governing law survive termination of these Terms.

16. Third-Party Services

The Service relies on and integrates with third-party services including Stripe (payment processing), email delivery providers, and cloud hosting platforms. We are not responsible for the availability, performance, terms, or conduct of any third-party service. Your use of those services is subject to their own terms and policies.

17. Governing Law & Jurisdiction

These Terms are governed exclusively by the laws of England and Wales. Any dispute not resolved by negotiation or arbitration shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Dispute Resolution & Arbitration

Before commencing any legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

Thereafter, any dispute, controversy, or claim arising out of or in connection with these Terms shall be referred to and finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA). The seat of arbitration shall be London, England. The language of arbitration shall be English.

You waive any right to bring or participate in any class action, collective proceeding, or representative action in connection with the Service.

19. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed and the remaining Terms shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, representations, or understandings.

20. Changes to These Terms

We may update these Terms at any time. Where changes are material, we will notify you by email at least 14 days before they take effect. Continued use of the Service after changes become effective constitutes your acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service and may delete your account.
